Angoss Announces New Banking Partner and Credit Facilities

Toronto, Canada—December 28, 2011—Angoss Software Corporation (Angoss) (TSX-V: ANC) a leading provider of predictive analytics software and solutions, is pleased to announce that it has closed a US$1.0m Term Loan (“Loan”) and US$1.5m Revolving Line of Credit (“Revolver”) on December 23, 2011 with proceeds being used to repay $1,888,000 of existing debt. The new credit facilities were secured with its new banking partner, Silicon Valley Bank (“SVB”).

Term Loan

The US$1.0m Loan is repayable in equal amounts over three years starting in February 2012. The Loan bears interest payable monthly in arrears.

Revolving Line of Credit

The US$1.5m Revolver may be drawn upon, subject to covenants and the lesser of US$1.5m and 80% of eligible accounts receivable.

The facilities provided by SVB are secured by a General Security Agreement, pledge of subsidiary shares and various inter-corporate guarantees. The Company has agreed to maintain certain affirmative and negative covenants with respect to corporate governance, minimum cash balances and EBITBA.
